1. Acceptance of Terms

By accessing or using easemint ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

easemint is a transaction platform for construction encroachment and access agreements. Our Service helps:

  • Property Owners (Homeowners): Understand offers, review compensation fairness, access educational resources, ask AI-powered questions, and digitally sign agreements.
  • Development Professionals (Pros): Create, manage, and send offers through a pipeline dashboard, track engagement, use agreement templates, and facilitate digital signatures.

The Service includes offer analysis, comparable agreement data, AI-powered Q&A, digital document signing, payment processing, multi-channel outreach (email, SMS, direct mail), and property monitoring.

3. Not Legal or Financial Advice

Important: easemint is an informational and transaction facilitation platform. We do not provide legal, financial, or professional advice. The information provided through our Service, including AI-generated responses, comparable data, and compensation assessments, is for educational purposes and should not be relied upon as a substitute for professional consultation.

You should consult with qualified legal, financial, or real estate professionals before making any decisions regarding property offers or agreements. Our independent legal marketplace connects you with lawyers but does not constitute a lawyer-client relationship with easemint.

4. User Accounts

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete information.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized access.
  • Be responsible for all activities under your account.

5. Digital Signatures and Agreements

Our Service facilitates the creation and digital signing of encroachment and access agreements through DocuSign. By using our signing features:

  • You acknowledge that electronic signatures have the same legal effect as handwritten signatures under applicable law (including the Ontario Electronic Commerce Act and the federal Personal Information Protection and Electronic Documents Act).
  • You consent to conducting transactions electronically.
  • You confirm that the identity information you provide during signing (name, date of birth, partial identification) is accurate.
  • Signed agreements are stored securely and available for download by both parties.

easemint is not a party to agreements signed through the platform. We facilitate the transaction but are not bound by the terms of any agreement between homeowners and developers.

6. Payments and Subscriptions

Certain features require payment. Our payment terms include:

  • Pro Subscriptions: Billed on a recurring basis. You may cancel at any time; access continues until the end of the current billing period.
  • Assessment Fees: One-time payments for homeowner guidance and concierge services are non-refundable once the assessment has been delivered.
  • Credits: Outreach credits (email, SMS, mail, enrichment) are consumed on use and do not roll over between billing periods unless otherwise stated.
  • Refunds: Refund requests are evaluated on a case-by-case basis. Contact support@easemint.ca for refund inquiries.

All payments are processed securely through Stripe. Prices are in Canadian Dollars (CAD) unless otherwise stated.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Provide false or misleading information in offers or agreements.
  • Attempt to gain unauthorized access to our systems.
  • Interfere with or disrupt the Service.
  • Scrape, copy, or redistribute our data without permission.
  • Use the Service on behalf of others without their consent.
  • Use outreach features (email, SMS, mail) for spam or harassment.
  • Misrepresent your identity during the agreement signing process.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by easemint and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without permission. Agreement templates created by professionals remain their intellectual property.

9. Data Accuracy

While we strive to provide accurate comparable data, compensation assessments, and AI-generated analysis, we cannot guarantee the accuracy, completeness, or timeliness of all information. Property values, market conditions, and legal frameworks change, and our data may not reflect the most current situation. AI responses are generated by third-party language models and may contain errors.

10. Limitation of Liability

To the maximum extent permitted by law, easemint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. This includes but is not limited to losses arising from reliance on offer analysis, AI-generated advice, or comparable data.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

  • Informal Resolution: We encourage you to contact us first at legal@easemint.ca to resolve disputes informally.
  • Mediation: If informal resolution fails, disputes may be submitted to mediation in Toronto, Ontario.
  • Jurisdiction: Any legal action shall be brought in the courts of the Province of Ontario, Canada.

Disputes between homeowners and developers regarding the substance of signed agreements are between those parties and are not the responsibility of easemint.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. Signed agreement records will be retained as required by law.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and notifying account holders by email. Your continued use of the Service after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
